Intellectual property portfolio audit

We carry out an intellectual property audit of your business – we determine what assets exist, what is protected and where the gaps are.
Do your business name, logo, website and customer base really belong to you?

Your business already has assets you cannot touch: a trademark, a domain, website texts, designs, software code, customer lists, internal methodologies, contracts. It often seems that all of this automatically belongs to the company. But in a dispute it may turn out that the rights were not transferred, the mark is not registered, the contracts do not protect you, and a competitor can use a very similar name.

An intellectual property portfolio audit shows what really belongs to your business, what is vulnerable and what is worth sorting out first. Within 2-4 weeks you will have a clear action plan with specific steps.

Most clients come to us after the event – when a competitor has already taken the mark, an employee has already left, or an investor is already asking to “show the IP”. By then it is no longer possible to carry out an audit within a week. Today it is still simple prevention for a fixed price.

This audit is relevant to you if at least one point applies.

Take a look – if you recognise your company in even one point, it is worth at least knowing what is already safe and what could still become a problem.
You have a business name, logo or domain, but you are not sure whether they are registered as a trademark.
Your website, design, texts or software code were created by a freelancer, an agency or an employee.
You have a customer list, pricing methodology, training materials or other internal information that could be copied.
A competitor has started using a similar name, design or idea.
An employee has left to work for a competitor or started their own similar business.
You are planning a new product, exports, a franchise, an investor or the sale of the company.

If you recognised yourself in even one point – below you will see six typical scenarios that become most expensive when you put them off.

Six situations that always come suddenly.

They all share one thing in common – once they have happened, you can no longer do an audit within a week.
Investuotojas · M&A

You are thinking about an investor, a sale or a merger

The first thing a buyer or investor will ask is “show me the IP”. If the portfolio is not in order, your negotiating position falls and the deal may be delayed for months.
Competitor

A competitor has started using a similar name or logo

Without clearly protected rights you have no leverage. With them, you can demand that the use be stopped, seek compensation or make them change the mark.
Employee

A former employee has gone to a competitor or started their own business

They may take with them a customer list, internal methodology or documents you created. The question is simple: was this formalised by contract, or did you “just trust” them?
Expansion · Export

You are planning activities abroad or a new product

A trademark registered in Lithuania is not valid in Germany or the USA. It is better to find this out now than when you have already invested in a marketing campaign.
Contracts

You use template NDAs or employment contract annexes from the internet

Most of them lack essential provisions under Lithuanian law. We check whether they are valid at all and whether they would protect you in a real dispute.
Growth

The company grew faster than you managed to sort out the documents

A start-up was founded, products were added, new trademarks, perhaps new partners. An audit helps you bring everything under one roof – and understand what is missing.
A competitor does not warn you before starting to use a similar mark. An employee does not tell you they are leaving for a competitor. An investor does not give you months to prepare. Then an audit becomes an expensive emergency service – or it is too late altogether. Today it is still simple prevention for a fixed price of €800.

THE AUDIT IS CARRIED OUT BY AN EXPERT

A specialist for whom intellectual property portfolio auditing is a field of many years’ practice.

Over my practice I have noticed a pattern: in about 99% of cases, companies do not fully know what intellectual property they actually own.
I am not only talking about trademarks or designs – far more often, trade secrets, accumulated know-how, internal processes and databases are forgotten. Even more often, it is unknown how to protect all of this properly. That is exactly why an intellectual property portfolio audit is one of the most useful services: together we clarify what you have, what is already protected and what is still worth protecting.

What is an intellectual property portfolio audit, simply put?

It’s like a health check for your business. Only instead of blood tests, we check not the body but the things that make your business yours: the name, logo, designs, website, software, customer base, employee and contractor agreements, trade secrets, registered and unregistered trademarks.

After the audit you clearly see:
what belongs to your company, what is not properly protected and what needs to be sorted out first.

What will you get after the audit?

Four concrete things you will have in hand within a few weeks.

A clear list of your business’s “invisible assets”

In a single document you will see what intellectual assets the company has: trademarks, names, designs, software code, texts, databases, methodologies, contracts. In one place – for the first time.

A risk map

You will see where the weak spots are: an unregistered mark, untransferred copyrights, a weak NDA, unclear employee contracts, unprotected export markets.

A priorities plan

A specific list: what to do now, what can be postponed, how much it might cost, how long it will take and what the risk is if you do nothing.

A document you can show to management, an investor or a buyer

This is not a long legal text for the drawer. It is a practical action plan that anyone who opens it understands within 10 minutes – where your company is strong, where it is weak and what you intend to do.

What do we check during the audit?

Eight areas where both value and vulnerabilities most often lie.

Area What we look at
Trademarks Whether the name and logo are registered, in which countries they are protected, and whether there are conflicts with similar marks.
Domains and social media Whether the online identity (.lt, .com, social media accounts) belongs to the company, not to an employee or a former partner.
Designs Whether the appearance of a product, packaging, website or visuals can be protected as a registered design.
Copyright Who holds the rights to texts, photographs, designs, software code and internal documents.
Software Whether it is clear who owns the code and its libraries, and whether there is a risk of licence infringements.
Trade secrets Whether customer lists, pricing methodologies, internal processes and know-how are protected.
Employment and contractor agreements Whether employees and freelancers have transferred the rights to what they created. Whether there are valid NDAs and non-compete clauses.
Licences and partnerships Whether it is clear who allows whom to use the mark, methodology or content. Whether these contracts protect you, not just the other party.
The most common problem is not that the business has nothing.
The problem is that the assets have already been created, but the rights to them are not fully sorted out. The audit reveals that gap.

What people ask before ordering.

Answers to frequently asked questions about the intellectual property portfolio audit.

Do I need an audit if I am a small company?

Yes – if you have a name, logo, website, customer base, or work created by employees or freelancers. IP risks often arise while the business is still small – precisely when people think about it the least. It is precisely a small and growing company that is most vulnerable, because it has no in-house lawyer, and problems often surface suddenly – when it is already too late.

No. About 90% of audit objects are not patents. These are trademarks, copyrights, trade secrets, contracts, customer bases, internal processes. Patents are only a small part. Even if you have not created any technology, your business still has dozens of things that make up its value and can be copied.

No. The purpose of the audit is not to sell as many registrations as possible, but to show priorities. Some things are worth handling immediately, others can be postponed. Some things are not worth handling at all. After the audit, you decide – not us.

No. We start from what you have. Even if you have few documents or they are lost – the audit helps you understand what is missing. The most common scenario: there is an employee’s employment contract, but no clear IP provision; there is a logo, but no transfer of the designer’s rights. That is exactly where we start.

Yes. This is one of the most common risks: a design, texts, software code or other material created externally, but the rights are not clearly transferred to the company. It seems, “we did pay” – but legally the author is still the person who created it. The audit reveals this clearly and suggests how to fix it.

Yes. An investor is only one of the situations. The audit is also relevant if you fear copying, work with partners, expand into new markets, change your trademark or hire creators. In short – it is always relevant when there is something valuable in the business that can be lost.

A consultation answers one specific question that you already know you have. The audit gathers a whole list of questions you haven’t yet thought about – and arranges them in order of importance. After a consultation you have an answer; after an audit – clarity and an action plan.

The whole process – 2-4 weeks, depending on the size of the company. From your side, roughly 2-3 hours of conversation and a few answers by email will be needed. We do the rest of the work – checking databases, analysing and preparing the report.

Yes, €1,500 + VAT is the fixed price of the entire audit – no “extra hours”. After the audit you receive a report with recommendations. If you decide to register or sort something out – those are separate jobs with separate prices, which will be clearly stated in the report. But you are not obliged to do anything.

Yes. Patent attorneys are, by law, bound by professional secrecy – the same principle as with lawyers or doctors. If needed, we additionally sign a confidentiality agreement (NDA) suited to your internal requirements.
